Terms of Service

1. Introduction
1.1 Who We Are
ZediPass Ltd ("ZediPass", "we", "us") operates a software application and related services (the "App" or "Service"). By accessing or using the App, you agree to these Terms and Conditions (the "Terms").
1.2 Agreement & Acceptance
If you do not agree with these Terms, do not use the App. You should review these Terms periodically as they may change as described in section 11.
2. Nature of the Service
2.1 Ledger-Only Platform
ZediPass is a ledger and display layer that records loyalty activity (e.g., stamps, points, rewards). ZediPass does not create, fund, issue, fulfil, or guarantee any stamp, reward, perk, discount, or offer.
2.2 Merchant Discretion
All loyalty benefits are offered and administered solely by participating merchants ("Merchants"). Merchants may set eligibility, limits, exclusions, and expiry. Merchants are under no obligation to award stamps or honour a reward where criteria are not met.
3. Eligibility & Accounts
3.1 Minimum Age
You must be at least 16 years old to use the App. If you are under the age of majority in your country, you must have permission from a parent or guardian.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
3.3 One Personal Account
You may maintain only one personal account. Accounts are non-transferable.
4. Acceptable Use
4.1 Prohibited Conduct
You must not attempt to falsify stamps or rewards (e.g., multiple scans per transaction, spoofing QR/NFC, replaying tokens, tampering with device time, automation/emulation), misrepresent your identity, harass others, or use the App for unlawful purposes.
4.2 Technical Misuse
Do not interfere with security features or access controls, probe or scan endpoints, reverse engineer, scrape, or attempt to bypass rate limits or authentication.
5. Stamps & Rewards
5.1 Issuance
Stamps may be issued only upon a qualifying transaction and only if the Merchant chooses to award them at their discretion.
5.2 No Cash Value
Stamps and rewards have no cash value, are non-transferable, and may not be sold or exchanged, except as required by law.
5.3 Changes & Expiry
Merchants may change, suspend, or withdraw their loyalty programs, rewards, and criteria at any time.
6. Disputes Regarding Stamps/Rewards
6.1 Between You and the Merchant
If you believe a stamp or reward was not recorded or honoured, you must raise this directly with the Merchant. ZediPass is not a party to your transaction with a Merchant.
6.2 ZediPass Role
Where appropriate, we may provide technical event references (e.g., timestamps, scan IDs) to help investigate. We do not mediate disputes and cannot compel a Merchant to issue stamps or fulfil rewards.
7. Evidence, Audit & Error Correction
7.1 Event Logs
We may maintain event logs to detect abuse and investigate suspected errors.
7.2 Corrections
We may correct obvious technical errors in ledger entries (e.g., duplicate writes), but we will not create stamps or rewards without Merchant confirmation.
8. Suspension & Termination
8.1 Our Rights
We may suspend or terminate your account, or block a device or scan pathway, where we reasonably suspect fraud, abuse, disingenuous use of your data, or security risk.

You may delete your account at any time via in-app settings; see our Privacy and Data pages for details on data deletion.
9. Availability & Changes to the App
9.1 Service Changes
The App is provided on an "as is" and "as available" basis. Features may change or be removed, and downtime may occur.
10. Limitation of Liability
10.1 Merchant Matters
We are not responsible for Merchant products, services, pricing, allergens, safety, or legal compliance, nor for a Merchant’s failure to award or honour loyalty benefits.
10.2 Indirect Losses
To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, or lost data arising from your use of the App. Your statutory consumer rights are not affected.
11. Changes to These Terms
11.1 Updates
We may update these Terms from time to time. The "Last updated" date will be shown in the App or on our website. Material changes may be notified via in-app notice or email where appropriate. Your continued use of the App after changes indicates acceptance.
12. Governing Law & Jurisdiction
12.1 England & Wales
These Terms are governed by the laws of England and Wales and the courts of England and Wales shall have exclusive jurisdiction, except where consumer law in your country provides otherwise.
